Business Entity Formation and Registration

Our Business & Corporate Law Group forms and registers legal entities on an almost daily basis for our clients. We consult with our clients, and when necessary, their accountants and financial consultants, in determining the most beneficial entity for the proposed business. We prepare corporate governance documents, buy-sell agreements and other formation documents, as well as employment and other agreements, and offer guidance with respect to client operational documentation, including standard terms and conditions, warranties and terms of sale. Our attorneys also address trademark issues in conjunction with company formation to ensure your business ideas are protected. We also advise our clients with respect to the required reporting to local, state, and federal agencies and how to structure their companies to minimize individual and parent company liability exposure.

Transactional and Litigation Services

The Business & Corporate attorneys provide guidance and representation in connection with merger and acquisition transactions, the disposition of entities and/or specific assets, including transactions requiring the approval of state regulatory agencies. We assist our clients in securing financing for their operations and growth, and defend their business interests in both routine and complex litigation matters. We design customized legal solutions to best satisfy our clients’ needs, and are constantly helping our clients in planning ahead to avoid common pitfalls and roadblocks, and thereby proactively saving time and money.

In addition, we assist our clients in establishing relationships with other business entities, through joint venture and other cooperative agreements. Our attorneys are experienced with respect to employment issues such as the preparation of employment agreements, confidentiality and non-disclosure agreements, and restrictive covenants, and we review, offer guidance on and prepare employment and policy manuals. We have also acted as local counsel with respect to real estate and New Jersey banking issues in complicated transactions involving multistate, national and international participants.

Additionally, wherever necessary, our office has attorneys with expertise in the areas of bankruptcy/creditor’s rights, commercial leasing, employment law, land use and planning law, real estate, banking and criminal law in assisting to address the legal entities’ present and anticipated future needs.

Finally, though it is often an unavoidable cost of doing business, all of the attorneys in our Business and Corporate Law Group are experienced litigators. We help identify potential problems so your business can change and adapt to new laws, legal decisions, and an increasingly litigious business environment, and, if necessary, help solve those problems in state and federal courts, administrative agencies, as well as in arbitration or mediation proceedings.

Contracts, Licenses and Agreements

Our Business & Corporate Law Group routinely drafts the appropriate agreements concerning such matters as employment contracts, confidentiality agreements, distribution and manufacturing agreements, licensing agreements, and sales contracts. Depending upon the industry our clients receive the benefit of our attorneys who have experience under the Uniform Commercial Code and other trade specific language that ensures the agreement properly protects business assets.

Franchising

Our Business & Corporate Law Group has experience representing franchisees by negotiating the franchise or licensing agreement to better balance the rights and obligations of the parties. All too often franchisees find themselves in a situation where they are eager to open a business with an established brand but fail to realize that agreements provided by the franchisors are one sided and oppressive.

We also help franchisees to achieve workable solutions in the dissolution of their relationships with franchisors in order to avoid the often large penalties associated with a premature termination of the agreement.
